1. Acceptance of Terms

By creating a provider account, completing a provider profile, or clicking "I accept the Provider Agreement" on the ClinMatch dashboard, you ("Provider") agree to be bound by this Provider Participation Agreement ("Agreement") with ClinMatch Health ("ClinMatch," "we," or "us"). If you are accepting on behalf of a clinic, practice, or organization, you represent that you have authority to bind that entity.

2. Platform Description

ClinMatch is a scheduling and matching platform that connects patients with independent healthcare providers. ClinMatch does not provide medical services, employ providers, or practice medicine. Provider–patient relationships are established directly between the Provider and the patient. ClinMatch has no clinical role in any consultation, diagnosis, treatment, or outcome.

3. Provider Eligibility

To participate on ClinMatch, you must:

  • Hold an active, unrestricted professional license in your practice state(s).
  • Carry active malpractice insurance appropriate to your specialty and jurisdiction.
  • Have a valid National Provider Identifier (NPI) number.
  • Not be subject to any active license restrictions, sanctions, or exclusions from federal or state healthcare programs.
  • Be legally permitted to provide the services listed on your profile in the states where you practice.

4. Provider Representations and Warranties

By maintaining a profile on ClinMatch, you represent and warrant that:

  • All profile information — including name, specialty, NPI, license number, license state, malpractice status, board certification, location, availability, and copay estimate — is accurate, current, and complete.
  • You will promptly update your profile if any credentialing, insurance, licensure, or practice information changes.
  • You will notify ClinMatch immediately at admin@clinmatchhealth.com of any license restrictions, disciplinary actions, sanctions, or malpractice claims that may affect your eligibility to practice.
  • You are not excluded from participation in Medicare, Medicaid, or any other federal or state health program.
  • You will provide clinical care independently under your own professional license, judgment, and malpractice coverage.

5. Platform Fee

ClinMatch charges a per-booking platform fee ("Platform Fee") each time you confirm a patient appointment through the platform. The Platform Fee is based on your specialty and is displayed in your provider dashboard before any booking is confirmed.

Platform Fees are charged to the payment method on file at the time you click "Confirm" on a booking. Fees are non-refundable except in cases where ClinMatch determines a charge was made in error. No Platform Fee is charged for bookings you cancel or that are cancelled by the patient.

ClinMatch reserves the right to adjust the Platform Fee schedule with 30 days' notice. Continued use of the platform after a fee change constitutes acceptance of the new fee.

6. Payment Authorization

By adding a payment method to your provider account, you authorize ClinMatch to charge the applicable Platform Fee to that payment method each time you confirm a booking. You are responsible for keeping a valid payment method on file. Profiles without a valid payment method on file are not eligible for public search listing.

7. Provider Obligations

  • Respond to patient booking requests within a reasonable time (ideally within 24 hours).
  • Maintain accurate availability — if you are not accepting patients, set your profile to inactive.
  • Provide patients with reasonable advance notice if you need to cancel or reschedule a confirmed appointment.
  • Not use ClinMatch for emergency triage. Direct patients with urgent symptoms to 911 or emergency services.
  • Comply with all applicable federal, state, and local laws governing the provision of healthcare services.
  • Maintain patient confidentiality in accordance with HIPAA and applicable state privacy laws.

8. ClinMatch Rights

ClinMatch reserves the right to:

  • Approve, reject, suspend, or remove any provider profile at our sole discretion, including for inaccurate credentials, patient complaints, or violation of this Agreement.
  • Remove or modify any profile content that is inaccurate, misleading, or in violation of applicable law.
  • Investigate complaints from patients or third parties regarding a provider's conduct on the platform.
  • Terminate a provider's access immediately if we have reason to believe the provider poses a risk to patient safety.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ClinMatch shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to your use of the platform, including but not limited to lost revenue, lost bookings, or claims by patients related to the care you provide.

ClinMatch's total aggregate liability to any Provider under this Agreement shall not exceed the total Platform Fees paid by that Provider in the twelve (12) months preceding the claim.

10. Indemnification

Provider agrees to indemnify, defend, and hold harmless ClinMatch, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) Provider's provision of clinical services, (b) Provider's breach of this Agreement, (c) any inaccuracy in Provider's profile information, or (d) Provider's violation of any applicable law or third-party rights.

11. Dispute Resolution

Any dispute arising under or related to this Agreement shall first be submitted to ClinMatch support at support@clinmatchhealth.com for good-faith resolution. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. The parties waive any right to a jury trial and agree not to participate in class action litigation against ClinMatch.

12. Termination

Either party may terminate this Agreement at any time by providing written notice. Provider may close their account by contacting support@clinmatchhealth.com. ClinMatch may terminate or suspend Provider access immediately if Provider violates this Agreement, poses a patient safety risk, or fails to maintain required credentials. Termination does not relieve Provider of obligations for Platform Fees incurred prior to termination.

13. Modifications

ClinMatch may update this Agreement from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Delaware.
